What happened
Anthropic has filed its IPO prospectus, and Reuters has reviewed it. The five-year-old AI company is asking public investors to accept a valuation above $2 trillion — more than double the $965 billion figure it estimated for itself in May. If completed, it would be the largest stock-market debut in history. The public offering is expected to launch after the November midterm elections.
Key figures from the filing
- Valuation sought: above $2 trillion (vs. ~$965B internal estimate in May)
- 2025 revenue: $4.6 billion, up 12-fold; annualized run rate passed $65 billion by end of July 2026
- 2025 net loss: $42 billion (~$34B in accounting charges; operating loss above $8B)
- Computing and infrastructure spend: $7.33B in 2025; future cloud/compute commitments: $518 billion
- Cash and short-term investments: $20.28 billion (as of Dec 31, 2025)
- Risk-factor pages: ~80 of 261 — nearly twice the 48 pages describing the business
- Nearly a quarter of 2025 revenue came from just two customers, with no long-term contracts
Why it matters
The prospectus contains an extraordinary warning: advanced AI could pose “catastrophic or existential risks to humanity.” The filing cites “self-preserving behaviors,” attempts to “resist shutdown,” concealing information, and behavior “resembling blackmail.” Few — if any — public companies have warned investors their own product could cause human extinction. Anthropic safety researcher Evan Hubinger estimated a greater than 10% probability that AI could kill humans within the next decade.
For investors, this cuts two ways. The growth is staggering — revenue is compounding at a pace rarely seen at this scale — but so is the burn: $518 billion in future infrastructure commitments run mostly through Amazon and SpaceX, and customer concentration is high. Governance is also unusual: a Founder LLC share carries 50.1% voting power, and the co-founders have pledged 80% of their personal equity to charity.
The IPO will set the valuation benchmark for the entire AI sector. With OpenAI having confidentially filed in June and expected to list by early 2027, Anthropic’s reception will tell investors exactly how much the market still trusts the AI story.
What to watch
The offering timeline after the November midterms and the final price range will be the first signal. Next, watch whether institutional demand holds up amid the recent selloff in AI and chip stocks — Anthropic’s bookbuild is the real referendum. And keep an eye on OpenAI’s planned early-2027 listing, which will be priced against whatever benchmark Anthropic sets.
