    What happened

Circle, the issuer of the USDC stablecoin, said on September 22 that Binance had purchased $100 million of its Class A common stock and that the two companies renewed their USDC partnership for five years, with a focus on distribution in emerging markets. Circle said Binance acquired 1,237,011 Class A shares at $80.84 each through a private placement that closed on September 17, according to its SEC filing.

    Key figures:
    – $100 million equity investment: 1,237,011 Class A shares at $80.84 each, roughly a 5% discount to market
    – 5-year commercial agreement centered on expanding USDC distribution, especially in emerging markets
    – Binance retains voting rights but agreed not to sell, transfer, pledge, or hedge the shares for up to two years
    – Circle will pay Binance monthly incentives tied to qualifying USDC balances held through Circle’s Modular Smart Contract Wallet infrastructure
    – USDC market cap: ~$75 billion vs. Tether’s USDT above $183 billion
    – USDC-quoted spot markets on Binance grew from 140 to 329 since the original 2024 deal; monthly USDC volume rose from roughly $20–40 billion to more than $80 billion, per Kaiko data cited by CoinDesk
    – The new arrangement replaces earlier agreements from November 2024 and August 2025

    Why it matters

This is a striking reversal. In 2022 Binance cut off USDC trading support in favor of its own BUSD stablecoin, which U.S. regulators later forced into obsolescence. Now Binance is not just distributing USDC — it owns equity in the company that issues it. For investors, the deal cements USDC as the compliance-first dollar token with the largest distribution pipeline, and it puts stablecoin distribution, not just issuance, at the center of the market-share battle with Tether.

    What to watch

    – Whether USDC narrows USDT’s lead in market cap and on-chain settlement
    – How Circle monetizes: incentive payments tied to USDC balances are a new, recurring cost line
    – Regulatory treatment of stablecoin deals as Congress continues debating market-structure legislation
