Bio-Techne (NASDAQ: TECH) shareholders have voted to approve the definitive agreement under which Merck KGaA, Darmstadt, Germany will acquire the life-sciences company, removing another hurdle on the path to closing. The vote took place at a special meeting on September 23, 2026. In a related milestone, the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act expired at 11:59 p.m. Eastern Time on September 18, 2026. The company continues to expect the transaction to close by late 2026 or early 2027, subject to remaining regulatory approvals and customary closing conditions.
Why it matters: This is a landmark life-sciences tools deal. Bio-Techne — a Minnesota-based provider of reagents, analytical instruments, and precision diagnostics with over $1.2 billion in fiscal 2025 net sales, more than 3,000 employees, and 34 locations worldwide — will join forces with one of Europe’s largest life-science players. CEO Kim Kelderman said shareholders’ backing marks an important milestone toward completing the transaction, framing it as delivering substantial near-term cash value while building a combined company positioned to serve customers across discovery, translational research, development, testing, and commercial manufacturing. The deal underscores the ongoing consolidation in life-sciences tools, where scale and full workflow coverage are increasingly prized.
What to watch: The HSR clearance checked a key regulatory box, but remaining approvals and customary closing conditions still stand between here and a late-2026 or early-2027 close. Any competing offer, regulatory delay, or change to the expected timeline would be a fresh catalyst, with the final certified voting results coming in Bio-Techne’s Form 8-K filing with the SEC.
