What happened
On September 24, 2026, Fathom Holdings Inc. (Nasdaq: FTHM) and Neighborhood Intelligence, Inc. (Nasdaq: NXH) announced they have agreed to explore a proposed alternative transaction that would replace their previously announced merger agreement dated June 16, 2026 (as amended).
The alternative deal would combine Fathom’s national residential real-estate brokerage and title business with substantially all of NXH’s digital asset holdings: NXH’s approximately 38.8% direct and indirect ownership interest in tZERO Group, Inc. (tZERO), its Medici-related fund assets, and its direct investment in GrainChain, Inc.
The transaction would ascribe no less than $130 million in value to the contributed digital assets, reflected through newly issued Fathom shares to NXH — and NXH is expected to maintain a controlling interest in Fathom after closing.
The structure is intended to create a transparent, trackable public equity interest in tZERO and related digital assets while building on Fathom’s operating businesses. Definitive agreements and due diligence are still pending.
Seeking Alpha’s Friday (Sept 25) biggest-movers roundup had Fathom up roughly 20% and NXH up roughly 4% on the announcement.
Why it matters
This is a creative workaround — instead of a plain merger, Fathom effectively becomes the public-market vehicle for one of crypto’s legacy tokenization plays (tZERO), plus GrainChain. The $130M floor valuation is set before due diligence, so the real fight will be over whether Fathom shareholders agree tZERO is worth that. NXH keeping control means public shareholders ride along on a digital-assets strategy they didn’t originally sign up for.
What to watch
Definitive agreement terms and final share count; Fathom’s validation of the $130M valuation; any shareholder or regulatory pushback; tZERO’s underlying business performance; and whether more “real estate + crypto asset” hybrids follow.
