    What happened

On September 24, 2026, Select Water Solutions (NYSE: WTTR) announced an agreement to acquire private water-midstream company Pilot Water Solutions for $700 million on a debt-free basis — $600 million in cash plus $100 million in Select Class A common stock, with up to $15 million in contingent consideration tied to operational milestones expected in early 2027.

Pilot Water operates water-midstream assets in the Delaware Basin across Texas and New Mexico. According to NS Energy Business, Pilot runs about 2.7 million barrels per day of active produced-water disposal capacity, roughly 900,000 bpd of undeveloped capacity, and more than 700 miles of pipelines.

Pilot is forecast to generate $100–110 million of adjusted EBITDA in 2026, rising to $120–130 million in 2027, and Select expects $10–15 million in annual cost synergies within 12–18 months of closing.

The deal significantly shifts Select’s profit mix: water infrastructure would represent about 70% of pro forma profitability by 2027, with combined contracted water volumes expected to exceed 2.5 million barrels per day in 2027. Committed debt financing is coming from JPMorgan Chase and Bank of America, with JPMorgan Securities and BofA Securities advising Select and Vinson & Elkins acting as legal counsel. Pro forma net leverage stays below 2.0x. Closing is expected in Q4 2026, pending regulatory approvals including Hart-Scott-Rodino clearance.

    Why it matters

This deal doubles down on produced-water infrastructure in the Permian’s Delaware Basin — a less-glamorous but contract-backed segment riding the fracking-services cycle. Nearly 90% of the combined minimum volume commitments are underwritten by investment-grade customers, giving the long-term cash-flow visibility that energy-services investors prize. And the below-2x leverage discipline means shareholders aren’t being diluted into distress risk.

    What to watch

HSR review and Q4 close timing; any stock reaction after the Friday (Sept 25) session; 2027 EBITDA delivery and synergy capture; and whether Select bids for more private midstream assets.

With water infrastructure becoming the majority of Select’s profit mix, is this an energy stock or an infrastructure stock — and should it trade like one?
