Zymeworks has closed its roughly $929 million all-cash acquisition of Theravance Biopharma, paying $17.00 per share. The transaction wrapped on September 23, 2026 — barely three months after the merger agreement was signed on June 28, 2026 — and Theravance shares will be delisted from Nasdaq.
(1) What happened
At the center of the deal is Yupelri, a once-daily nebulized LAMA therapy for COPD maintenance marketed in the US through a collaboration with Viatris, under which Theravance holds a 35% share of US net profits. Yupelri generated $266.6 million in 2025 US net sales (up 12%), with Q1 2026 US net sales of $62.4 million (up 7%). The package also includes a contingent value right (CVR) giving former Theravance shareholders 80% of net proceeds from any future business-development transactions involving ampreloxetine over the next 10 years — 20% goes to Zymeworks — after ampreloxetine failed its Phase 3 CYPRESS study, prompting Theravance to wind down that program and cut roughly half its workforce. Rounding out the haul: up to $125 million in Viatris sales milestones, Trelegy/Vibativ royalty streams, and roughly $2.5 billion of Irish tax attributes.
(2) Why it matters
For Zymeworks, a clinical-stage oncology company, the logic is straightforward: a commercial asset delivering near-term cash flow while its own pipeline matures, extending its cash runway without a dilutive equity raise. The deal structure also tells you exactly what Zymeworks was willing to pay for — $17 per share came in below the roughly $17.65 pre-announcement close, and the CVR means Zymeworks paid for what was certain while handing former holders lottery tickets on ampreloxetine. For biotech M&A watchers, this is a textbook distressed-seller buyout: Theravance put itself up for sale after a pipeline failure, and shareholders get the commercial asset monetized plus upside optionality.
(3) What to watch
From here, three things matter: whether Zymeworks can keep growing Yupelri against entrenched COPD competition from GSK, AstraZeneca, and Boehringer Ingelheim; whether any ampreloxetine monetization ever triggers the CVR; and whether more oncology biotechs follow Zymeworks’ playbook of buying commercial-stage respiratory assets.

Discussion question: Would you rather own a clinical-stage biotech that buys a commercial asset to self-fund its pipeline, or one that stays lean and raises equity when it needs cash — which playbook wins over the next five years?
