Reuters got its hands on Anthropic’s 261-page draft IPO prospectus late Monday, and the numbers are stunning. The Claude AI developer — the most valuable private company in the world — reported revenue of $4.6 billion in 2025, up 1,088% from $386 million a year earlier, while racking up a net loss of nearly $42 billion. An IPO as soon as November is expected to value the company above $2 trillion.
**What happened**
Reuters reported Monday evening that it had seen the draft S-1 prospectus, which Anthropic filed confidentially with the SEC on June 1 but has never made public. Anthropic declined to comment on the document, which multiple outlets including the Financial Times, CNBC, and the New York Post subsequently corroborated.
Key figures from the filing, via Reuters and follow-on reporting:
– Revenue: $4.59B in 2025, up roughly 12x from $386M in 2024
– Operating loss: more than $8B (vs. $2.98B in 2024); operating expenses near $12.65B
– Net loss: $41.97B in 2025, vs. $8.31B in 2024 — about $34B of it a non-cash accounting charge
– Compute spend: $7.33B in 2025, more than half of operating expenses
– Commitments: roughly $518B in future cloud computing and infrastructure commitments
– Q2 2026 revenue was reportedly $11.5B, a sharp accelerationThe draft also carries unusual disclosures: nearly 80 of the 261 pages cover risk factors, including a warning that Anthropic’s own models could pose “catastrophic or existential risks to humanity.” The prospectus says models could show “self-preserving behaviors,” including efforts to resist shutdown, conceal information, and behavior “resembling blackmail.” The FT added that nearly a quarter of Anthropic’s revenue comes from just two customers.
**Why it matters**
This is the first hard look at the economics of frontier AI at scale, and it lands right as markets are questioning AI spending: Anthropic’s plan to commit $518 billion in cloud capacity implies years of continued mega-spending on compute — good news for Nvidia, AMD, and cloud providers, but a sobering reminder that the customer of all this hardware burns cash at a rate no public company ever has. The customer-concentration detail is the other red flag: a $2 trillion valuation built partly on two clients.

**What to watch**
– Whether Anthropic confirms a public S-1 filing and a listing date — SEC EDGAR currently shows nothing public.
– Whether the figures hold up once the official filing is public; so far everything is Reuters-sourced and unconfirmed by the company.
– How public markets react to the loss disclosure: AI infrastructure names could wobble if investors decide the biggest buyer of their chips is loss-making at an unprecedented scale.
– The risk-factor language on “existential risk” — expect scrutiny from Congress and regulators once the filing goes public.Discussion question: if the world’s most valuable AI lab tells investors its own models could pose “catastrophic or existential risks” — and then plans to spend $518 billion building them — how should public-market investors price that risk?
