Lifecore Biomedical, Inc. (NASDAQ: LFCR) announced Sept. 28, 2026, that it has entered a definitive agreement to be acquired by private equity firm Webster Equity Partners, in a deal valued at up to $663.7 million including milestone payments. The stock will be delisted from Nasdaq if the deal closes, expected by the end of Q4 2026.
What happened
- $6.28/share cash at closing for common stockholders, plus one non-tradable contingent value right (CVR) per share.
- 49.5% premium on the cash portion; 130.2% premium including full CVR milestone payments (up to $9.67/share).
- $160M aggregate CVR pool tied to performance milestones.
- Through 2034: Lifecore signed a three-year extension of its manufacturing agreement with Alcon alongside the deal.
Why it matters
- A 130% all-in premium shows private equity is hunting discounted small-cap healthcare manufacturers — a signal that micro-cap biotech services may be undervalued.
- The Alcon extension through 2034 suggests the thesis is durable contract-manufacturing cash flow, not a pipeline bet — deals like this tend to anchor valuations for peer contract manufacturers.
- Series A preferred holders also get the conversion amount in cash plus CVRs, a structure worth understanding if you hold preferred or CVR instruments.
What to watch
The shareholder vote, Q4 closing progress, and the CVR milestone terms in the SEC 8-K (Exhibit 99.1). Also watch whether other micro-cap contract manufacturers attract similar bids this quarter.
