Crypto payments firm MoonPay has signed a definitive merger agreement to acquire North Capital Investment Technology, a private-markets infrastructure company whose businesses include SEC-registered broker-dealers, an alternative trading system, a transfer agent and an investment adviser, the companies announced September 23, 2026. MoonPay did not disclose financial terms; a person familiar with the deal told Fortune it is an all-stock transaction valued at more than $60 million.
What happened
- MoonPay signed the definitive agreement for North Capital on September 23, 2026.
- North Capital brings SEC-registered broker-dealers (FINRA/SIPC members), the PPEX alternative trading system with 1,250+ approved assets for secondary trading, a transfer agent and an investment adviser.
- MoonPay says the platform has supported more than $8.7 billion in primary and secondary transaction volume.
- The deal is all-stock, reported at over $60 million, and remains subject to regulatory approvals and customary closing conditions.
- MoonPay serves more than 35 million customers across 180 countries and 1,500+ enterprise clients.
Why it matters
MoonPay is buying what would take years to build: a full regulatory stack for private and tokenized securities. The crypto-native firm is positioning itself as infrastructure for onchain capital markets just as tokenization accelerates — a trend worth reading alongside our coverage of tokenized stocks jumping 5x in 2026 and the NYSE–Blockchain.com tokenized stock trading pact.
For everyday investors, this is another signal that the tokenized real-world-asset trade is moving from pilot to buildout. When a 35-million-user payments onramp buys regulated brokerage rails, the bet is that tokenized securities become a mainstream distribution channel — not a crypto niche.
What to watch
- Regulatory approval and closing timeline, plus any disclosure of final terms.
- Whether MoonPay folds tokenized securities into its checkout or wallet products for retail users.
- The SEC’s innovation exemption progress and the OCC’s stablecoin rules (due November) — both will shape what these new rails can legally do.
Would you buy tokenized stocks or funds through a crypto app like MoonPay if it were properly regulated? Why or why not?
